These Terms & Conditions govern the use of this website, operated by Manning Web Company Inc. (“Manning Web Company”, “we”, “us”), and describe the general terms that apply to Manning Web Company's marketing services. By using this website, you agree to these terms, together with our Privacy Policy, Cookie Policy, and Disclaimer, which are incorporated by reference. Each client engagement is governed by its own written proposal or agreement; where a signed proposal and these general terms differ, the proposal applies.

Use of this website

By using this website, you agree to use it only for lawful purposes and in a way that does not interfere with the site or its users. You must not attempt to gain unauthorized access to any part of the site or its systems, introduce malicious code, or probe or test the site's security without permission.

Free tools

The free tools on this site (such as the Landing Page Auditor, Profit Calculator, and Website Planner) are provided for genuine personal and business evaluation use. You must not access them with bots, scrapers, or other automated means, use them to build a competing service, or submit abusive volumes of requests. We may rate-limit, change, or discontinue any tool at any time. Tool outputs are automated, general-purpose estimates; see the Disclaimer.

Informational content

Content on this website is provided for general informational and business communication purposes. It is not a guarantee of results, and it is not legal, financial, or professional advice.

Service discussions

Submitting an inquiry, filling out an onboarding form, or booking a call does not create a client relationship by itself. Any service relationship is established through a written proposal or agreement.

Proposals and scope of work

• Services are defined in the written proposal provided to each client. Any work not explicitly listed in a proposal is outside scope and may require a separate quote.
• Unless otherwise stated, Google Ads engagements are for Google Search text ads. Ad creative such as images or video is not included unless explicitly listed.
• Ongoing content updates or copy changes after pages are delivered are not included unless separately agreed.

No performance guarantees

Marketing, tracking, and reporting services may improve measurement and visibility, but Manning Web Company does not guarantee ad performance, click-through rates, conversion rates, cost per click, cost per lead, lead volume, bookings, jobs, sales, revenue, return on ad spend, or organic search rankings. Advertising results are market-driven and fluctuate with seasonality, competition, available search volume, budget, and client responsiveness. Early campaign results should be treated as a learning period while data is gathered and the account is refined. Manning Web Company uses artificial intelligence (AI) tools as part of delivering and improving its services, including account analysis, reporting, and content and page production.

Third-party costs and tools

• Advertising spend (such as Google Ads spend) is paid directly by the client to the advertising platform and is separate from any management fees.
• Standard lead tracking software used by Manning Web Company for call, form, booking, and attribution reporting is included only while monthly ad management is active, unless otherwise stated in a proposal.
• Calendar or form tools, CRM tools, website plugins, hosting, or platform plan upgrades required for certain features are not included unless explicitly listed in a proposal.

Account ownership and access

Where possible, client marketing assets (such as Google Ads, Google Analytics, Google Tag Manager, and Google Search Console) are set up in accounts owned by the client, with Manning Web Company added as an authorized user. Clients are responsible for providing timely access to the accounts, websites, and tools needed to perform the work; delays in access or approvals may delay setup timelines.

Cancellation and tracking handoff

• Monthly ad management is month-to-month, and one full month's written notice is required to cancel ongoing management services.
• If management ends, Google assets set up in the client's own accounts remain with the client.
• Agency-managed call tracking, form tracking, booking attribution, tracking numbers, and related reporting may require the client to assume the tracking software subscription, set up their own tracking account, or arrange a separate transition project. If no handoff is arranged, agency-managed tracking services may be discontinued at the end of the paid billing period.

Privacy and compliance responsibility

Compliance with applicable privacy laws (including, where applicable, PIPEDA, BC PIPA, Quebec Law 25, and GDPR) - including cookie consent mechanisms, privacy policies, call recording disclosures, and lead tracking disclosures - remains the client's responsibility. Any suggested policy or disclosure wording provided by Manning Web Company is not legal advice and does not guarantee compliance; clients are responsible for their own legal review and final approval.

Intellectual property

Unless otherwise indicated, this website and its content (text, design, graphics, logos, tools, and code) are the property of Manning Web Company Inc. and are protected by copyright and trademark law. You may view, print, and share links to pages for personal or internal business purposes. You may not republish, sell, or systematically copy site content or tool outputs without prior written permission, and you may not use the Manning Web Company name or logo in a way that implies endorsement.

Third-party services

This site links to and uses third-party services such as scheduling, form delivery, hosting, and analytics tools. Manning Web Company does not control and is not responsible for those third-party services, their availability, or their content. Your use of them is governed by their own terms.

No warranties

This website and its free tools are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied. We do not warrant that the site will be uninterrupted, error-free, or secure, or that its content is complete or current. Occasional downtime may occur for maintenance, upgrades, or unexpected issues, and we are not liable for interruptions or disruptions in availability.

Limitation of liability

To the fullest extent permitted by law, liability under these terms is limited to direct damages. Manning Web Company Inc. and its officers, employees, and contractors are not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost leads, loss of goodwill, lost or corrupted data, work stoppage, or business interruption, arising from this website, its free tools, or any services.

For this website and its free tools, which are provided at no cost, total liability is limited to CAD $100. For paid services, unless a signed proposal or agreement states otherwise, Manning Web Company's total aggregate liability for all claims combined is limited to the fees actually paid by the client to Manning Web Company in the six months before the event giving rise to the claim. Advertising spend is paid by the client directly to the advertising platform; it is not a fee paid to Manning Web Company and is not recoverable from Manning Web Company.

Indemnification

You agree to hold Manning Web Company Inc. harmless from claims and costs (including reasonable legal fees) arising from your misuse of this website, your violation of these terms, or your violation of any law or third-party right in connection with the site.

Governing law

These terms are governed by the laws of the Province of British Columbia and the applicable federal laws of Canada. Any dispute relating to this website will be brought exclusively in the courts of British Columbia, and you consent to the jurisdiction of those courts.

General

If any provision of these terms is found unenforceable, the remainder stays in effect. A failure to enforce any provision is not a waiver of it. These terms, together with the policies referenced above, are the entire agreement between you and Manning Web Company regarding use of this website.

Changes

These terms may be updated from time to time without prior notice. The date at the top reflects the latest revision, and continued use of the site after changes are posted means you accept the revised terms.
